TERMS OF USE AGREEMENT

Jerseytech LLC ("Company," "we," "us," or "our") provides cloud-based software and related services for e-commerce sellers, including tools that integrate with Amazon.com and other online marketplaces (collectively, the "Services"). This Terms of Use Agreement ("Agreement") is entered into between you ("You" or "Your") and Jerseytech LLC.

This Agreement is effective when You select "I Agree," create an account, or otherwise use the Services. If You do not agree, You must not use the Services. We may update this Agreement at any time. Continued use after changes constitutes acceptance.

1. Eligibility and Warranties

You represent that You are at least eighteen (18) years old, have legal capacity to enter this Agreement, and are not prohibited from using the Services under applicable law.

If You use the Services on behalf of a business, You represent that You are authorized to bind that entity to this Agreement.

2. User Account

You are responsible for maintaining the confidentiality of Your account credentials and for all activity under Your account. Notify us immediately of unauthorized access.

We may suspend or terminate Your account at our discretion for violation of this Agreement, the Acceptable Use Policy, or applicable marketplace policies.

3. Privacy Notice

Our Privacy Notice describes how we collect, use, and disclose personal information. It is incorporated into this Agreement by reference. See /legal/privacy-notice/ and /legal/amazon-data-handling/.

4. License

Subject to timely payment and compliance with this Agreement, we grant You a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended business purposes.

  • You may not reverse engineer, decompile, scrape, or circumvent technical protections.
  • You may not use the Services to train AI/ML models without our written consent.
  • You may not sublicense, resell, or share account access except as expressly permitted.
  • You may not use the Services in violation of any law or third-party marketplace policy, including Amazon.com policies.
  • You may not misuse Amazon Selling Partner API (SP-API) data obtained through the Services.

5. Acceptable Use

You agree to comply with our Acceptable Use Policy at /legal/acceptable-use-policy/, which is incorporated by reference.

6. Marketplace Compliance

You are solely responsible for compliance with all marketplace terms, policies, and guidelines, including Amazon's Seller Code of Conduct, Dropshipping Policy, and Product Listing policies.

When using Amazon SP-API through oneshipbox, You must also comply with Amazon's Solution Provider Agreement, Acceptable Use Policy (AUP), and Data Protection Policy (DPP). See /legal/amazon-data-handling/ and /legal/acceptable-use-policy/.

You may use Amazon SP-API data obtained through the Services only for authorized purposes on marketplaces You are permitted to sell on. Do not share Amazon access keys, portal passwords, or SP-API credentials outside authorized OAuth/LWA flows.

The Services are tools to assist Your business operations. We do not guarantee account approval, listing approval, sales performance, or protection from marketplace enforcement actions.

We are not Amazon, and we are not an official Amazon partner unless expressly stated in a separate written agreement.

7. Fees and Payment

You agree to pay all fees associated with the Services according to the pricing published on oneshipbox.com or in Your subscription plan.

Subscription fees are generally non-refundable except where required by applicable consumer protection law.

If You are a consumer in the European Union, You may withdraw within 14 days of subscription start without giving a reason, provided You have not materially used the Services during that period.

8. User Content

You retain ownership of content You submit. You grant us a license to use, store, and process Your content solely to provide and improve the Services, including backups and operational logs.

You warrant that Your content does not violate law or third-party rights.

9. Third-Party Services

The Services may interact with third parties including Amazon, payment processors, carriers, and warehouse partners. We are not responsible for third-party services, outages, or policy changes.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability arising from or related to the Services shall not exceed the amount You paid us for the Services in the twelve (12) months preceding the claim, or one thousand U.S. dollars (USD $1,000), whichever is less.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or marketplace account suspensions.

12. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and affiliates from claims arising out of:

  1. Your use of the Services;
  2. Your violation of this Agreement or the Acceptable Use Policy;
  3. Your violation of third-party rights;
  4. Your violation of marketplace policies, including Amazon.com policies; and
  5. Your products, listings, fulfillment practices, or customer interactions.

13. Term and Termination

This Agreement continues until terminated. You may stop using the Services and close Your account at any time. We may terminate access for breach or risk to platform integrity.

14. Governing Law and Disputes

This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules.

Except where prohibited by law, disputes shall be resolved through binding individual arbitration. You waive class action participation to the extent permitted by law.
